1. Agreement to These Terms
These Terms of Use (the "Terms") govern your access to and use of msmcore.com, MSM Core services, internal tools, application programming interfaces, browser extensions, and related systems made available by MSM Distribution (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
2. Who We Are
MSM Distribution ("MSM Distribution," "MSM," "we," "us," or "our") operates MSM Core as a secure internal platform used to support business systems, product information, data synchronization, workflow automation, browser extensions, and integrations with approved third-party services.
MSM Core is primarily intended for authorized MSM Distribution personnel, approved contractors, administrators, reviewers, wholesale customers, and other users expressly granted access by MSM Distribution. Certain public-facing portions of MSM Core, including the wholesale registration form, may be made available to prospective business customers for the limited purpose of applying for an MSM Distribution wholesale account. MSM Core is not intended as a general public consumer platform.
3. Eligibility and Authorized Access
Except for public-facing portions of the Services expressly made available for wholesale registration or other approved purposes, you may access the Services only if you are authorized by MSM Distribution and are legally capable of entering into these Terms. Access credentials, API tokens, browser extension access, and other authentication methods may be issued, restricted, suspended, rotated, or revoked at any time.
You are responsible for maintaining the confidentiality of your credentials and for all activity occurring through credentials assigned to you. You may not share credentials, authentication tokens, or access methods with unauthorized persons.
4. Wholesale Registration
Prospective business customers may submit information through the MSM Distribution wholesale registration form to request review for a wholesale account. Submission of a registration form does not guarantee approval, establish a customer account, create contractual purchasing rights, or guarantee access to any MSM Distribution wholesale or B2B services.
You agree that information submitted through the wholesale registration form will be accurate, current, and complete to the best of your knowledge. MSM Distribution may review, verify, accept, reject, or request additional information regarding a wholesale registration at its discretion, subject to applicable law.
5. Acceptable Use
You may use the Services only for lawful, authorized business purposes. You agree not to:
- Access systems, records, features, or data for which you have not been authorized,
- Attempt to bypass authentication, authorization, access controls, rate limits, or other safeguards,
- Probe, scan, test, exploit, or interfere with the security or availability of the Services without written authorization,
- Use the Services to introduce malicious code, automated abuse, or unauthorized scripts,
- Copy, distribute, disclose, sell, sublicense, or commercially exploit internal software, data, credentials, or documentation without permission,
- Use the Services in violation of applicable law, third-party agreements, or MSM Distribution policies, or
- Use information obtained through the Services for purposes unrelated to authorized MSM Distribution business operations.
6. Browser Extensions
MSM Distribution may provide browser extensions, including the MSM Cin7 POS Toolkit and MSM Cin7 UI, to enhance approved business workflows. These extensions are intended only for authorized users and supported environments.
Browser extensions may access information displayed within approved business systems and may communicate with authenticated MSM Core services as necessary to provide their stated functionality. Use of the extensions is also subject to the Browser Extension Privacy Policy.
7. API and Authentication Tokens
MSM Core may use API tokens, origin restrictions, request validation, and other security controls to protect internal endpoints. API tokens are confidential credentials and may be used only by authorized users and approved software.
You may not publish, disclose, reuse, transfer, reverse engineer, or attempt to derive another user's authentication credentials. MSM Distribution may invalidate or replace tokens at any time, including in response to suspected exposure, misuse, personnel changes, or security events.
8. Business and Operational Data
The Services may display or process business information such as product identifiers, pricing, cost, margin, inventory-related data, customer purchase history, sales information, transaction identifiers, and other operational records.
Such information is confidential business information unless MSM Distribution expressly states otherwise. Authorized users may access and use this information only as necessary to perform approved business responsibilities.
9. Third-Party Services
MSM Core may integrate with third-party platforms and services, including Cin7 Core and other approved business systems. Third-party services are operated independently and are subject to their own terms, privacy policies, licensing requirements, availability, and security practices.
MSM Distribution does not control third-party services and is not responsible for interruptions, changes, errors, losses, or other issues caused by third-party systems.
10. Intellectual Property
Unless otherwise stated in writing, MSM Core, its source code, browser extensions, interfaces, workflows, documentation, branding, graphics, configurations, and other proprietary materials are owned by or licensed to MSM Distribution and are protected by applicable intellectual property laws.
No right, title, or interest in the Services is transferred to you by virtue of access or use. You may not reproduce, modify, distribute, sublicense, sell, publicly disclose, or create derivative works from protected materials except as expressly authorized in writing.
11. Security and Monitoring
MSM Distribution may use logs, authentication records, synchronization history, error reporting, rate limiting, request validation, and other monitoring mechanisms to operate, secure, troubleshoot, and protect the Services.
By using the Services, you acknowledge that authorized system activity may be logged or reviewed for security, operational, compliance, and troubleshooting purposes.
12. Availability and Changes
MSM Distribution may modify, suspend, restrict, replace, or discontinue any portion of the Services at any time. Features, integrations, permissions, supported browsers, API behavior, and third-party functionality may change as business or technical requirements evolve.
We do not guarantee that the Services will always be available, uninterrupted, error-free, or compatible with every browser, device, network, or third-party platform.
13. No Warranties
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, MSM Distribution disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.
14. Limitation of Liability
To the maximum extent permitted by law, MSM Distribution and its owners, personnel, affiliates, contractors, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, or data arising from or related to the Services.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
15. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless MSM Distribution, its affiliates, owners, personnel, contractors, and representatives from claims, losses, liabilities, damages, and reasonable expenses arising from your unauthorized or unlawful use of the Services, violation of these Terms, misuse of credentials, or infringement of third-party rights.
16. Suspension and Termination
MSM Distribution may suspend, restrict, or terminate access to the Services at any time when reasonably necessary for security, business operations, policy enforcement, suspected misuse, legal compliance, or protection of company systems and information.
Upon termination or revocation of access, you must stop using the Services and any assigned credentials or tokens immediately.
17. Privacy
Information handled through MSM Core is governed by our Privacy Policy. Browser-extension-specific data practices are described separately in our Browser Extension Privacy Policy.
18. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, business operations, security practices, legal requirements, or third-party integrations. Updated Terms become effective when posted to this page unless otherwise stated.
19. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except where applicable law requires otherwise.
20. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the extent permitted by law.
